i think the best adjustments for underexposed photos would be to adjust Levels (position the white and black clips, adjust any midtones), and after that, use the Shadow/Highlight tool, but keep the percentages low (abt <20) if not halos will start appearing. After all that, if not satisfied with the colour, you can play around with Curves, and try to achieve something like a mild S-shape.. if you've got CS3, then there's a dropdown menu to select "Medium Contrast"..not sure abt the interface on CS2.. that's my workflow around these photos, hope it helps
